AGREEMENT TO TERMS

These Terms of Use (“Terms”) are a legally binding agreement between you, whether individually or on behalf of an entity (“you”), and SchoolBanks, Inc. (“SchoolBanks,” “we,” “us,” or “our”) concerning your access to and use of the https://www.schoolbanks.com website and any related services, applications, or platforms (collectively, the “Site”).

By accessing or using the Site, you agree that you have read, understood, and accepted these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND MUST DISCONTINUE USE IMMEDIATELY.

We may update these Terms at any time for any reason. Changes will be reflected by an updated “Last Updated” date above. It is your responsibility to review these Terms periodically. Your continued use of the Site following the posting of changes constitutes your acceptance of those changes.

The Site is intended for users who are at least 18 years old. Users under 18 are not permitted to use or register for the Site.

The Site is not tailored to comply with industry-specific regulations (e.g., HIPAA, FISMA, GLBA). If your interactions are subject to such laws, you may not use this Site.

INTELLECTUAL PROPERTY RIGHTS

All content on the Site, including but not limited to source code, databases, functionality, software, website design, audio, video, text, photographs, and graphics (“Content”) as well as trademarks, service marks, and logos (“Marks”) are owned or licensed by SchoolBanks. They are protected by copyright and trademark laws.

You are granted a limited license to access and use the Site and to download or print portions of the Content for personal, non-commercial use. You may not reproduce, distribute, sell, or exploit any part of the Site without prior written permission.

USER REPRESENTATIONS

By using the Site, you represent and warrant that:

  1. All registration information you submit is accurate and up to date;

  2. You will maintain the accuracy of such information;

  3. You have the legal capacity to agree to these Terms;

  4. You are at least 18 years old;

  5. You will not use automated means to access the Site;

  6. Your use of the Site does not violate any law or regulation.

We reserve the right to suspend or terminate your account if any information provided is inaccurate or misleading.

USER REGISTRATION

You may be required to register for the Site. You agree to keep your password confidential and accept responsibility for all activities that occur under your account.

FEES AND PAYMENT

We accept Visa, Mastercard, ACH, bank account payment, and Check. You agree to provide accurate billing information and authorize us to charge your payment method for purchases and recurring payments, where applicable. We may adjust pricing at any time and correct billing errors even after charges are processed.

PROHIBITED ACTIVITIES

You may not use the Site to:

  • Engage in unauthorized data collection or user impersonation;

  • Circumvent security features or interfere with operations;

  • Upload viruses or harmful code;

  • Harass or threaten users or staff;

  • Use the Site for commercial purposes not approved by us;

  • Violate any applicable law or regulation.

USER-GENERATED CONTRIBUTIONS

You may be able to post or submit content (“Contributions”). You retain ownership, but grant us the right to use your Contributions in accordance with our Privacy Policy. You warrant that your Contributions do not violate any law or third-party rights.

CONTRIBUTION LICENSE

By posting Contributions, you authorize us to use, store, and process them in accordance with our Privacy Policy. You may not assert ownership claims against SchoolBanks.

SOCIAL MEDIA

You may connect third-party accounts (e.g., Facebook, Google) to your SchoolBanks account. We are not responsible for third-party services or content. Your relationship with those providers is governed by their terms.

SUBMISSIONS

All feedback or suggestions you provide become our sole property. You waive any rights to such Submissions and agree they are non-confidential.

THIRD-PARTY WEBSITES AND CONTENT

The Site may link to third-party websites or content. We are not responsible for any third-party content or interactions. Use third-party sites at your own risk.

U.S. GOVERNMENT RIGHTS

If our services are acquired for use by the U.S. Government, they are provided as commercial items subject to these Terms under applicable acquisition regulations.

SITE MANAGEMENT

We may monitor the Site and take action to enforce these Terms, including restricting access or removing content.

PRIVACY POLICY

Use of the Site is subject to our Privacy Policy. By using the Site, you consent to the transfer and processing of your data in the U.S.

TERM AND TERMINATION

These Terms remain in effect while you use the Site. We may suspend or terminate your access for any violation. You may not create a new account if yours is terminated.

MODIFICATIONS AND INTERRUPTIONS

We may modify or discontinue the Site at any time. We are not liable for any interruptions or downtime.

GOVERNING LAW

These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles.

DISPUTE RESOLUTION

All disputes shall be brought in courts located in Georgia, U.S.A. Any claim must be brought within one year of the event giving rise to it.

DISCLAIMER

THE SITE IS PROVIDED “AS IS.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED. WE ARE NOT RESPONSIBLE FOR ANY DAMAGES ARISING FROM YOUR USE OF THE SITE.

LIMITATIONS OF LIABILITY

WE SHALL NOT BE LIABLE FOR INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR LIABILITY IS LIMITED TO THE GREATER OF $500 OR THE AMOUNT YOU PAID IN THE SIX MONTHS PRIOR TO THE CLAIM.

INDEMNIFICATION

You agree to indemnify and hold us harmless from any claims arising from your use of the Site or violation of these Terms.

USER DATA

We may retain and back up user data but are not liable for any data loss. You are responsible for your own backups.

ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

You consent to receive communications electronically and agree to electronic signatures and transactions.

MISCELLANEOUS

These Terms and any policies posted on the Site constitute the entire agreement between you and SchoolBanks. If any part is deemed invalid, the remainder remains enforceable. You may not assign your rights. These Terms will not be interpreted against us as the drafter.
